Terms of Service

By using the Service you confirm that you are authorized to act on behalf of your organization and that you accept these Terms. If you do not agree, do not use the Service.

Axion is an intelligent, AI-augmented ERP delivered as a cloud SaaS, including automated alerts and processes, KPIs and escalations, attendance integration, native integrations with the ecosystem, and white-label capabilities. Features may evolve as we improve the platform.

You are responsible for the accuracy of your registration information and for keeping your credentials confidential. You are responsible for all activity that occurs under your account.

You retain all rights to the data and content you load into Axion. You grant us a limited license to host and process that content solely to provide and support the Service. We process customer data as described in the Privacy Policy and the applicable customer agreement.

You agree not to misuse the Service, including by attempting to access it without authorization, disrupting its operation, reverse engineering it, infringing third-party rights, or using it for unlawful purposes.

Access to the platform is provided under a subscription or order agreed separately. Fees, billing cycle, and scope are defined in that order or contract. Unless stated otherwise, fees are non-refundable for periods already started.

The Service, its software, design, and trademarks (including "Axion ERP") are owned by Smart Global Tech Inc. and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

Axion can connect with third-party and ecosystem tools. Your use of those services is governed by their own terms, and we are not responsible for third-party products we do not control.

Each party will protect the other's confidential information and use it only as needed to perform under these Terms.

We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and our aggregate liability arising from the Service will not exceed the amounts paid for the Service in the twelve months preceding the claim.

These Terms apply while you use the Service. We may suspend or terminate access for breach of these Terms or as required by law. Upon termination, your right to use the Service ends; sections that by their nature should survive will continue to apply.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts of Ontario will have jurisdiction, subject to any mandatory rights under your local law.

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
